Terms of Service

Please read these Terms of Service carefully before using the SocialScript website or engaging our services. These terms govern your relationship with SocialScript and define the rights and obligations of both parties.

1. Agreement to Terms

By accessing or using the website socialscript.in and engaging our design, development, or marketing services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services.

These terms constitute a legally binding agreement between you (the "Client") and SocialScript (the "Company," "we," "us," or "our"). We reserve the right to update these terms at any time, and your continued use of our services following any changes constitutes acceptance of the revised terms.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Services

SocialScript provides web design, web development, branding, and digital marketing services. The specific scope, deliverables, timeline, and fees for each project are defined in a separate project proposal or statement of work ("SOW") agreed upon by both parties before work begins.

Scope of Work: All projects are governed by the SOW agreed upon at the start of the engagement. Any requests that fall outside the agreed scope will be treated as additional work and quoted separately.

Revisions: Unless otherwise specified in the SOW, each project phase includes up to two rounds of revisions. Additional revision rounds will be billed at our standard hourly rate.

Timeline: Delivery timelines specified in the SOW are estimates based on the agreed scope. Delays caused by the Client, including late feedback, delayed content delivery, or scope changes, may extend the timeline. We will communicate any timeline changes promptly.

Client Responsibilities: You agree to provide timely feedback, necessary content and assets, and access to any required accounts or platforms. Delays in fulfilling these responsibilities may affect project timelines and deliverables.

3. Payment Terms

Project Fees: All fees are outlined in the project proposal or SOW and are denominated in Indian Rupees (INR) unless otherwise specified.

Payment Schedule: Unless otherwise agreed, the standard payment schedule is as follows: - 40% advance payment before project commencement - 30% upon completion of the design phase - 30% upon final delivery and project handover

Payment Methods: We accept bank transfers (NEFT, IMPS, UPI), credit and debit card payments, and international wire transfers.

Late Payments: Invoices are payable within 7 days of issuance. Late payments may attract an interest charge of 1.5% per month on the outstanding amount. We reserve the right to pause ongoing work if payments are overdue by more than 14 days.

Taxes: All quoted fees are exclusive of applicable taxes. Goods and Services Tax (GST) at the prevailing rate will be added to all invoices as required by Indian law.

Refunds: Advance payments are non-refundable once work has commenced. If a project is cancelled before any work begins, the advance will be refunded in full minus a 10% administrative fee.

4. Intellectual Property

Client Materials: You retain all ownership rights to any content, data, trademarks, and other materials you provide to us for use in the project ("Client Materials"). You grant us a limited, non-exclusive licence to use Client Materials solely for the purpose of delivering the agreed services.

Project Deliverables: Upon full payment of all project fees, ownership of the final deliverables (including custom designs, code, and content created specifically for your project) transfers to you. Until full payment is received, all deliverables remain the property of SocialScript.

Pre-existing IP and Tools: We retain all rights to our pre-existing intellectual property, proprietary tools, frameworks, code libraries, and methodologies used in the course of delivering your project. Where such pre-existing IP is incorporated into your deliverables, we grant you a perpetual, non-exclusive, royalty-free licence to use it within the context of your project.

Third-Party Assets: Any third-party assets used in the project (such as stock images, fonts, or plugins) are subject to their respective licences. We will inform you of any third-party licence requirements and associated costs.

Portfolio Rights: We reserve the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement is in place.

5. Limitation of Liability

No Warranty: Our services are provided on an "as is" and "as available" basis. While we strive for excellence in every project, we do not warrant that our services will be uninterrupted, error-free, or meet every specific expectation not documented in the SOW.

Limitation: To the maximum extent permitted by applicable law, SocialScript shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of our services.

Maximum Liability: Our total aggregate liability for any claims arising out of or related to a project shall not exceed the total fees paid by you for that specific project.

Third-Party Services: We are not liable for any issues arising from third-party services, platforms, hosting providers, or tools used in connection with your project, including but not limited to downtime, data loss, or security breaches caused by third-party providers.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet disruptions, or other force majeure events.

6. Confidentiality

Both parties agree to treat all non-public information shared during the course of the engagement as confidential. This includes business strategies, technical specifications, design concepts, pricing, and any other proprietary information.

Confidential information shall not be disclosed to any third party without prior written consent, except where required by law or where disclosure is necessary to subcontractors who are bound by equivalent confidentiality obligations.

Confidentiality obligations survive the termination of the engagement for a period of two years.

7. Termination

Termination by Client: You may terminate a project at any time by providing written notice. Upon termination, you are responsible for payment of all work completed up to the date of termination, including any committed third-party costs. No refund will be issued for the advance payment if work has commenced.

Termination by SocialScript: We reserve the right to terminate a project if payment is overdue by more than 30 days, if the Client is in material breach of these terms, or if continued work is rendered impractical due to circumstances beyond our control. We will provide 14 days written notice before termination, except in cases of non-payment.

Effect of Termination: Upon termination and settlement of all outstanding fees, we will deliver all completed work to the Client. Any incomplete work-in-progress will be delivered as-is. Licences to pre-existing IP incorporated in deliverables remain valid provided all fees have been paid.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If a resolution cannot be reached, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.

9. General Provisions

Entire Agreement: These Terms of Service, together with any SOW or project proposal, constitute the entire agreement between the parties and supersede all prior or contemporaneous communications, representations, or agreements.

Severability: If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.
